2. Formation of Contract
a) Consumers
A contract is formed only when we confirm acceptance of your order in writing (including via email). Items not confirmed are not part of the contract. We may deliver in instalments.
b) Business Customers
We reserve the right to reject or terminate an order if your account is suspended or clause 11 conditions apply.
c) General
By placing an order, you confirm you are at least 18 years old and legally capable of entering into binding contracts.
3. Description & Pricing
- Product descriptions and prices are shown on the website. Errors may be corrected before dispatch.
- If products are unavailable, consumers may cancel and receive a full refund.
- Restrictions on quantity or total order value may apply.
- Prices include VAT where applicable; delivery charges are shown separately.
- Import duties (see clause 13) may apply for international deliveries.
4. Payment
Payment methods accepted:
- Cheque, PayPal, Direct Bank Transfer
- Visa, Mastercard, Visa Electron, American Express, JCB
- Payment is required in full before dispatch. Ownership transfers only upon receipt of full payment.
- Refunds revert ownership to us.
- All card payments are subject to validation and authorisation.
5. Delivery
a) Consumers
- Standard dispatch within 5 working days (subject to stock).
- If goods are unavailable or delivery exceeds 30 days, you may cancel.
- Longer lead times (up to 120 days) may apply; we’ll notify you.
- Ensure accurate delivery information. You may be charged for redelivery in case of incorrect details.
b) Business Customers
- Delivery times are estimates only. Time is not of the essence.
- We are not liable for indirect losses due to delivery delays.
c) Part Shipments
- We may ship orders in instalments and will notify you accordingly. No extra charge for second delivery.
6. Right to Cancel (Consumers Only)
You may cancel your contract up to 7 working days after receiving goods.
- Notify us in writing via post or email.
- You must return goods at your own cost unless we delivered in error or they are faulty.
- A full refund will be issued within 30 days of receiving your return.
Business customers may not cancel unless we agree in writing and you cover all related costs and losses.
7. Risk and Title
a) Consumers
Ownership and risk pass to you upon delivery.
b) Business Customers
Risk passes upon dispatch. Title passes only when full payment is received.
8. Warranty & Returns
Notify us promptly of any damaged, defective, or incorrect goods.
- We may require a photograph before authorising return.
- Replacements are provided free if the fault lies with us.
- This does not affect your statutory rights.
9. Data Protection
All personal data is handled in accordance with our Privacy Policy. By using this site and placing orders, you consent to electronic communication with us.
10. Limitation of Liability
- Our liability is limited to the price paid for goods.
- We are not liable for indirect or consequential loss (e.g. lost profits, business interruption).
- Nothing limits liability for fraud, death, or personal injury caused by our negligence.
- We are not responsible for external events beyond our control.
11. Termination (Business Customers)
We may terminate or suspend contracts if:
- Payments are overdue
- You become insolvent.
- There is a material breach of any contract.
Insolvency events are defined in detail under clause 11 in your original draft.
12. Governing Law
These terms are governed by the laws of England and Wales. We both agree to the non-exclusive jurisdiction of the English courts.
13. Customs (International Orders)
You are responsible for customs charges and compliance with local laws. Cross-border shipments may be inspected by customs authorities.
